This is the version in force today, at an address that will keep showing these exact words after the document next changes. Every version.

Effective 13 October 2026 (version terms-2026-10-13). These terms are an agreement between JOLIVE Labs Inc., 95 King William Court, Cambridge, Ontario N3C 4J3 ("SourceSecure", "we", "us") and the business that buys SourceSecure ("the Firm", "you"). By buying, or by clicking to accept at checkout, the person buying confirms they can bind the Firm to these terms.

1. Definitions

  • Service: the SourceSecure browser extension, the website at sourcesecure.ca, and the servers behind them.
  • Seat: one named person's right to use the Service. Seat types are Guard, Guard Pro, Guard 360 and Guard Enterprise (as a team head or a member).
  • Admin: a person at the Firm who manages the Firm's team, seats and billing. A Guard Enterprise team head is always an admin.
  • Owner: the admin the team page names as the Firm's owner. It is whoever bought, until the owner hands it to another admin.
  • Firm Data: information the Firm's people put into the Service, including records of what the Service caught, the firm profile, shared terms and the firm playbook.
  • Order Form: a signed order that refers to these terms. Where an Order Form and these terms conflict, the Order Form wins for that order.

2. What the Service does

2.1 SourceSecure reads what a person types or attaches on supported AI chat sites, on their own computer, finds client and other sensitive details, and offers a version with those details replaced before it is sent. The person chooses what to send.

2.2 Depending on the seat type: Guard Pro adds prompt coaching; Guard 360 adds reply marks and a personal vault of facts; Guard Enterprise adds the Living Vault, the firm playbook, firm policies, the compliance report and priority support. What each seat includes is described on the pricing page.

2.3 Supported sites today are ChatGPT, Claude, Microsoft Copilot, Google Gemini, Perplexity, Grok, DeepSeek, Meta AI, Mistral and NotebookLM. Those sites change without notice to us; we work to keep up and will tell admins if a site stops being supported.

3. A safety net, not a guarantee

3.1 SourceSecure will miss things. Names, addresses and company names are recognised by a model making a judgment, and judgments are sometimes wrong in both directions. Numbers are matched by shape and check digits. Pictures and scanned documents are read imperfectly.

3.2 SourceSecure never decides for a person what to do about a detail it finds. It offers a redacted version, and the person may send what they typed. If a file cannot be read, the message is held so the person can decide. If the check of the message itself cannot finish, the message is held until it has been checked, and the person is told why. A Guard Enterprise team head may choose instead that, for their Firm, a message whose check could not finish is sent with a warning that it was not checked; nobody else can change this, so a Firm without Guard Enterprise seats always holds.

3.3 The Firm remains responsible for what its people send and for its obligations to its clients and regulators. SourceSecure reduces how often client details reach an AI tool by accident; it is not a substitute for the Firm's own policies, training and supervision.

4. Accounts, seats and admins

4.1 Each person signs in with an email address they control, through Google or a link we email them. A seat belongs to one named person and may not be shared.

4.2 One person belongs to one Firm's team at a time. People join a team by accepting an invitation. Admins add and remove people, assign seat types, change seat numbers and manage billing.

4.3 A seat is a person, not a browser: one person may connect several browsers to their seat.

5. Guard Enterprise

5.1 Guard Enterprise is sold as a team of at least five seats, at least one of them a team head. Team heads set the Firm's policies, edit the firm playbook and receive the compliance report.

5.2 Guard Enterprise has no free trial. It may be billed monthly or yearly; yearly is paid in advance at ten times the monthly price. A Firm billed monthly may switch to yearly from the Billing tab. The switch takes effect at the next bill, with nothing charged or credited for the month already paid for, and can be undone until then.

5.3 The Living Vault is kept encrypted on each person's own computer and is not stored on our servers. Passages from it are sent, redacted, only for the AI features in section 10. If a person removes the extension or clears their browser data, their Living Vault is gone unless they exported it. We cannot recover it.

5.4 The firm playbook is stored on our servers and shared with the Firm's Enterprise seats. It must not contain client information; the Service refuses entries that appear to.

6. Fees, billing and taxes

6.1 Prices are per seat, in Canadian dollars, as shown on the pricing page or on an Order Form. Guard, Guard Pro and Guard 360 prices fall as the Firm's total seat count grows.

6.2 Payment is taken by Stripe, which holds card details; we never see them. Subscriptions renew automatically each month or year until cancelled.

6.3 Adding seats is charged, and removing seats credited, for the rest of the billing period on the next invoice.

6.4 Prices do not include applicable sales taxes, which are added where required.

6.5 If a payment fails, the Service keeps working while the payment is retried, and we email the Firm's admins so that the card can be fixed. If every retry fails, the subscription ends: the Service stops working for the Firm, and section 17.3 applies. Firm Data is not deleted while a payment is being retried.

6.6 We may change prices with at least 30 days' notice by email to admins. A change applies from the next billing period after the notice period.

7. Free trials

Where offered (not for Guard Enterprise), a trial gives the features of the seat type tried for the stated period at no charge. At its end, the seats return to the type paid for unless the Firm buys more.

8. Cancellation and refunds

8.1 The Firm may cancel at any time from the Billing tab, without contacting us. The subscription runs to the end of the period already paid for.

8.2 We do not refund partial periods, except where the law requires or where we have failed to provide the Service; write to support@sourcesecure.ca.

8.3 The Firm's owner may instead delete the Firm's account at any time from the Billing tab. That ends the subscription at once, with no refund for the rest of the period already paid for, and deletes Firm Data from our servers straight away, except invoices and records the law requires us to keep. It cannot be undone.

9. Firm Data and privacy

9.1 The Firm owns Firm Data. We use it only to provide and support the Service, as described in the Privacy Policy and the Data Processing Agreement, which form part of these terms. We do not sell Firm Data, use it to train AI models, or use it for advertising.

9.2 Where we handle personal information on the Firm's behalf, we do so under the Data Processing Agreement. If it and these terms conflict on the handling of personal information, the Data Processing Agreement wins.

9.3 We may use counts that identify no Firm or person (for example, how many catches were made across all firms) to run and improve the Service.

9.4 An admin may download a copy of the Firm Data we hold, as one file, from the Billing tab at any time until it is deleted.

10. AI features

10.1 Coaching, reply marks, the weekly note, chat and meeting summaries, Ask SourceSecure and the background written by Add notes are written by AI models. They can be wrong, incomplete or out of date. Ask SourceSecure and Add notes are instructed to use only what is in the person's own vault.

10.2 Before any text is sent for these features, names and other details found are replaced with stand-ins on the person's computer. Any person can switch prompting tips off, which stops all of them except Ask SourceSecure. A question to Ask SourceSecure is sent only when the person asks it, and stops while SourceSecure is paused or when the person or the Firm switches the Living Vault off. What each feature sends, and what OpenAI may keep of it, is set out in the Privacy Policy.

10.3 The Firm should check AI-written content before relying on it for advice to clients.

11. Acceptable use

The Firm's people must follow the Acceptable Use Policy at sourcesecure.ca/acceptable-use. We may suspend a seat that breaks it in a way that harms the Service, other firms or the law, and will tell the Firm's admin why.

12. Limitation of liability

12.1 To the extent the law allows, neither party is liable for indirect, consequential, special or punitive damages, or for lost profits, revenue or data, even if told they were possible.

12.2 To the extent the law allows, each party's total liability for all claims relating to the Service is limited to the fees the Firm paid in the 12 months before the claim arose.

12.3 Nothing in these terms limits liability for fraud, wilful misconduct, a breach of section 15 (Confidentiality), or anything else that cannot be limited by law.

13. Indemnity

13.1 The Firm will defend and compensate SourceSecure for third-party claims arising from content the Firm's people chose to send to an AI chat site, or from their breach of the Acceptable Use Policy.

13.2 SourceSecure will defend and compensate the Firm for third-party claims that the Service, used as permitted, infringes their Canadian intellectual property rights.

13.3 The party claiming must tell the other promptly and let it control the defence.

14. Warranties

14.1 We will provide the Service with reasonable skill and care, keep it working with the supported sites as they change, and tell admins in advance of any change to what is collected or who receives it.

14.2 Apart from what these terms promise, the Service is provided as is. We do not promise it will be uninterrupted or that it will catch every sensitive detail.

15. Confidentiality

Each party will keep the other's non-public business information confidential, use it only for this agreement, and protect it as carefully as its own, during this agreement and for three years after it ends. This does not apply to information that is public, already known, independently developed or required to be disclosed by law (with notice where allowed).

16. Intellectual property

SourceSecure keeps all rights in the Service, including the extension, its models and its code. The Firm receives a non-exclusive, non-transferable right to use the Service for its own business during its subscription. Feedback the Firm gives may be used to improve the Service without obligation.

17. Term and termination

17.1 These terms last while the Firm has a subscription.

17.2 Either party may end the agreement if the other materially breaches it and does not fix the breach within 30 days of written notice. We may also end an account used to break the law or attack the Service, and will say why.

17.3 When the agreement ends, the extension stops protecting the Firm's browsers, and within 30 days we delete Firm Data from our servers, except invoices and records the law requires us to keep. Sections 3, 9, 12, 13, 15 and 18 survive.

18. General

18.1 Governing law. These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. The courts of Ontario have exclusive jurisdiction.

18.2 Changes. If we change these terms in a way that matters to the Firm, we will email the Firm's admins at least 30 days before the change takes effect. The date at the top shows when they last changed.

18.3 Notices. Notices to us go to support@sourcesecure.ca; notices to the Firm go to its admins' email addresses.

18.4 Assignment. Neither party may transfer this agreement without the other's consent, except to a buyer of all or most of its business, with notice.

18.5 Force majeure. Neither party is liable for delay caused by events beyond its reasonable control, including outages of the AI chat sites or our cloud providers.

18.6 Entire agreement. These terms, any Order Form, the Data Processing Agreement, the Privacy Policy and the Acceptable Use Policy are the whole agreement. If any part is unenforceable, the rest stands.

18.7 Language. The parties have required that this agreement and related documents be drawn up in English. Les parties ont exigé que la présente convention et les documents connexes soient rédigés en anglais.
